Welcome to Spot-Ya

These Terms of Service ("Terms") are an agreement between you and Vinyan Technologies LLC ("we," "our," or "us"). Spot-Ya is a platform owned and operated by Vinyan Technologies LLC. These Terms govern your use of Spot-Ya, including the Spot-Ya.com website, the Spot-Ya mobile application, and any related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, please do not use Spot-Ya.

Our Services

Spot-Ya is a technology platform that helps individuals create, manage, and track informal SPOT agreements between trusted people. Spot-Ya is not a lender or bank. We provide agreement and tracking tools and do not provide legal, tax, or credit counseling advice. Payment services, when available, are subject to the applicable payment-provider terms and disclosures. Spot-Ya does not make lending decisions, guarantee repayment, or participate in agreements between users.

Website and Launch Updates

The website provides information about Spot-Ya and allows visitors to contact us and request launch updates. A launch signup does not create an app account, guarantee access, or authorize a payment. December 15, 2026 is the planned launch date; availability may change.

Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use Spot-Ya. By creating an account, you represent that the information you provide is accurate and complete.

User Accounts

You are responsible for maintaining the security of your account and login credentials. You agree to notify Spot-Ya immediately if you believe your account has been compromised or used without authorization.

SPOT Agreements

Spot-Ya provides tools that allow users to create, manage, and track SPOT Agreements between trusted individuals. Spot Agreements are intended to document the terms accepted by the participating users, including the amount, repayment schedule, due dates, extensions, and other agreed-upon conditions. Depending on applicable law and the circumstances of the transaction, a Spot Agreement may serve as evidence of the parties' agreement in the event of a dispute or legal proceeding. Spot-Ya is not a party to any Spot Agreement and does not guarantee repayment, enforce agreements, provide legal advice, or participate in disputes between users.

Manual Tracking

Spot-Ya allows users to create and manage SPOTs regardless of how funds or value are exchanged. Users may manually record payments, partial payments, or agreed exchanges made by cash, check, bank transfer, third-party payment services, goods, services, or other mutually accepted forms of value. Spot-Ya records the information entered by users but does not independently verify the accuracy of manually entered transactions.

Payments

Payment features are subject to availability, eligibility, verification, and the applicable provider’s terms and disclosures presented before use. A SPOT Agreement or reminder alone does not authorize a debit from your bank account. Any payment or recurring debit requires the applicable authorization. Payment timing, limits, fees, returns, reversals, and any account arrangements will be disclosed for the payment service you select. Contact info@spot-ya.com promptly about a suspected payment error or unauthorized activity. Nothing in these Terms limits rights or remedies that cannot be waived under applicable law.

Fees and Optional Features

Any applicable subscription, platform, extension, or payment-service charges will be disclosed before you accept them. Recurring charges require the applicable consent. Billing frequency, renewal, cancellation, and refund terms will be presented with the offer. Do not assume that a feature or plan described on the website is available before it is offered to you.

Electronic Records and Notices

We may provide service notices and records electronically through the app or the email address you provide. Keep your contact information current and retain copies of agreements and notices. Where a separate electronic-signature or electronic-delivery consent is required for a feature, it will be presented before that feature is used. Launch-marketing consent is separate from payment authorization and service notices.

User Conduct

You agree not to:

• Use Spot-Ya for illegal or fraudulent purposes.

• Misrepresent your identity.

• Harass or threaten other users.

• Attempt unauthorized access to the platform.

• Upload malicious software or harmful content.

• Violate applicable laws or regulations.

Spot-Ya reserves the right to suspend or terminate accounts that violate these Terms.

Intellectual Property

The Spot-Ya name, logo, trademarks, software, graphics, content, and platform are the property of Vinyan Technologies LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reproduce any portion of the Services without written permission.

Disclaimer of Warranties

Spot-Ya is provided on an "as is" and "as available" basis. We make no guarantees regarding uninterrupted service, repayment of SPOT agreements, or the actions of other users.

Limitation of Liability

To the fullest extent permitted by law, Spot-Ya shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Spot-Ya is not responsible for disputes between Spotters and Spotees.

Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on Spot-Ya.com with a revised Effective Date. Continued use of the Services constitutes acceptance of any updates.
